BYLAWS
ETHIOPIAN GEOPHYSICAL UNION INTERNATIONAL (EGUI)
(March 30, 2006)
Preamble
1. Convinced of the significant role of
Ethiopian geophysical professionals in the Diaspora in advancing geophysical education
and research in Ethiopia; 2.
Considering
that it is a timely imperative for Ethiopian geophysical professionals in the Diaspora
to get involved in the movement of advancing Ethiopian geophysical education and
research in an organized manner; 3.
Now, therefore, the “Ethiopian Geophysical Union in Diaspora” is hereby established.
Article 1
Establishment
1. 1. A professional, non-profit association incorporated in the State of
California, with Headquarters in Los Angeles,
California is hereby established.
1. 2. The name of the association shall be “Ethiopian Geophysical Union in
Diaspora”.
Article 2
Aims
2. 1. To promote and support the education
and training of Ethiopian geophysical professionals by donating
educational materials, field equipment, computing facilities,
and other necessary resources.
2. 2.
To promote and support the training of Ethiopian geophysical professionals by providing
scholarship, financial and mentoring assistance
to Ethiopian students and educators.
2.
3. To inform Ethiopian students of career and scholarship opportunities that exist
in the geophysical sciences.
2. 4.
To organize conferences and workshops on all aspects of geophysics in Ethiopia.
2. 5.
To sponsor educational programs and to undertake coordinated research in Ethiopia.
2. 6.
To provide a networking platform for Ethiopian geophysics professionals.
2. 7.
To act as a liaison between members of this organization and other geophysical organizations.
2. 8.
To create or facilitate collaboration among universities in Ethiopia and overseas.
2. 9.
To organize and teach short courses in Ethiopia.
Article 3 Membership
Any
person who supports the objectives of this association can become a full member.
Article 4
Structure of the Association
The association
shall comprise the following organs:

Advisory Committee
Article 5
General Membership
The General
Membership, being the supreme organ of the association comprising all of the members,
shall have the powers and duties to:

Adopt and amend the bylaws of this association;
5. 2.
Submit nominees for Executive and Advisory Committee membership;
5. 3.
Convene annual meeting and attend to the Executive and Advisory Committees’ reports,
and take decisions;
5. 4.
Perform other duties in its name where necessary.
Article 6
Executive Committee
6. 1.
The Executive Committee members shall consist of a president, vice president, secretary,
treasurer and auditor.
6. 2. The
General Meeting shall elect members of the Executive committee among the members
of this association.
6. 3.
Elected members of the Executive Committee will assume responsibilities immediately
following the annual general meeting.
6. 4.
The tenure of the Executive Committee members shall be twenty four months.
Article 7
Powers and Duties of
the President
The president
shall have the powers and duties to:
7. 1.
Represent this association in accordance with the directives issued by the Executive
Committee;
7. 2.
Preside over the sessions of the General Meeting and the Executive Committee;
7. 3.
Perform such other duties as may be instructed by the Executive Committee;
7. 4.
Sign all contracts and other obligations of the organization, jointly with the secretary
and treasurer.
Article 8
Powers and Duties of
the Vice President
The vice president
shall have the powers and duties to:
8. 1.
Assume the duties and responsibilities assigned to the president in his or her absence;
8. 2.
Perform such other duties as may be given to him by the president.
Article 9
Powers and Duties of
the Secretary
The secretary
shall have the powers and duties to:
9. 1.
Keep the minutes of all meetings;
9. 2.
Prepare and distribute notices of meetings;
9. 3.
Sign all contracts and other obligations of the organization, jointly with the president
and treasurer;
9. 4.
Assume the role of president in the absence of both the president and vice president;
9. 5.
Collect agenda from members ahead of the next meeting;
9. 6.
Prepare and deliver all reports, including financial and property reports, to members.
Article 10
Powers and Duties of
the Treasurer
The treasurer
shall have the powers and duties to:

Handle all financial transactions and all other financial related issues;
10. 2.
Submit copies of all receipts to the auditor.
Article 11
Powers and Duties of
the Auditor
The auditor
shall have the powers and duties to:
11. 1.
Audit all the finances (income and expenditure) and properties of the organization.
11. 2.
Submit a proposed budget, in consultation with the treasurer, with anticipated income
and expenditure for approval to the General Membership during its annual meeting.
The budget should be accepted by the membership
at the meeting.
11. 3.
Submit a bi-yearly financial and property report to president, vice president and
secretary. The financial report shall include
all income categories and disbursements. The secretary will deliver the report to
members at the earliest meeting.
Article 12
Powers and Duties of
the Executive Leadership Team
12. 1.
The president, vice president, secretary and treasurer shall constitute the Executive
Leadership Team.
12. 2.
The duties of the Executive Leadership Team will be to hold discussions frequently
in order to assess the efficiency of the
activities carried out by this association, and develop new ideas and strategies
that can benefit this association in terms of meeting its aims.
Article 13
Membership Fees
13. 1.
Current annual membership fee is $50 per person (for fulltime working status) and
$10 for a student. Members are encouraged
to contribute more than the fixed amount whenever they could.
13. 2.
Annual membership fee may be changed by the Executive Leadership Team.
13. 3. Membership
is on a January 1 to December 31 basis. The Executive Leadership Team may authorize
partial-year rates for members who join
after July 1.
13. 4.
Conditions of membership shall be payment of annual fees prescribed by the Executive
Leadership Team.
Article 14
Meetings of the General
Members
14.1. Meetings
of the general membership shall consist of two kinds:
i. Annual General Meeting
ii. Special General Meeting
14.2.
The annual general meeting shall be held in San Francisco, CA, during the American
Geophysical Union Fall meeting.
14.3.
Special meetings of the general members may be called to deal with special issues
from time to time by the Executive Leadership Team.
14.4.
The Secretary is responsible for the preparation and distribution of notices of
meetings.
Article 15
Election of Executive
Committee Members
15. 1. The
Executive Leadership Team shall appoint a Nominating Committee to prepare a list
of nominees and carry out the next election.
15. 2.
All nominees shall have their information on this association’s website for members
to view and decide.
15. 3.
All members of this association can cast votes. Voting shall be done via electronic
email. To be counted, all votes shall
be sent prior to the deadline set by the Nominating Committee.
Article 16
Advisory Committee
16. 1. The
Advisory Committees consist of members having interests in topics or projects identified
by the Executive Leadership Team. The current
Advisory Committees include, but are not limited to:
i. Scholarship Committee
ii. Grant Writing Committee
iii. Public Relations, Website Design and
Maintenance Committee
iv. Workshop Organizing Committee
v. Resource Collection Committee
16. 2. The
president shall be responsible for appointing the Chairpersons for these committees
a two-thirds (2/3) approval of the Executive
Leadership Team. Each Chairperson shall appoint the members of his or her committee.
Article 17
Amendment
The bylaws
of this association shall be amended by a two-thirds (2/3) majority vote of the
General Membership.
Article 18
Dissolution
In the event
this association is dissolved for any reason, its assets shall be granted to Ethiopian
professional associations.
